Welcome to NexusAI Technology. These Terms and Conditions (Terms) govern your access to and use of the NexusAI website, platform, applications, content, subscriptions, directory services, sponsorship services, advertising placements, and related products and services. By accessing the Service, creating an account, purchasing a subscription, submitting a product, applying for a directory listing, creating a sponsorship campaign, or otherwise using the Service, you agree to these Terms and any policies incorporated by reference. If you do not agree to these Terms, you must not access or use the Service. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind that entity to these Terms.

Company, NexusAI, We, Us, or Our refers to DStudio Technology Pty Ltd, trading as NexusAI Technology, an Australian company based in Queensland, Australia. Service means the NexusAI Technology platform, website, applications, AI tools directory, AI search, AI prompt library, AI Insights, product comparison features, training resources, subscription services, directory listing services, sponsorship services, advertising placements, campaign analytics, and related services operated by the Company. User or You means any individual or entity that accesses or uses the Service, including visitors, registered users, subscribers, vendors, directory applicants, advertisers, and sponsors. Sponsor means a User who purchases, creates, manages, or submits a sponsorship campaign, advertising placement, sponsored product, or related promotional service. Content means text, prompts, comments, reviews, product information, logos, images, links, campaign materials, advertisements, files, and other materials submitted to or made available through the Service. Subscription means a recurring or fixed-term paid plan providing access to specified NexusAI features, limits, or credits. Capitalised terms have the meanings assigned to them in these Terms.

NexusAI provides an AI tools directory, AI-powered search and recommendations, an AI prompt library, AI Insights, product comparison features, training resources, subscriptions, directory listing services, and sponsorship and advertising solutions. The Service is designed to help users discover, compare, evaluate, learn about, promote, and use artificial intelligence products, agents, software, prompts, and workflows. Features, availability, limits, interfaces, supported integrations, and content may change over time. We may improve, replace, discontinue, or introduce features where reasonably necessary, subject to applicable law and any rights applying to paid services.

You must be legally capable of entering into a binding agreement to use paid features or purchase services. If you are under the age required to enter into a contract in your jurisdiction, you may use the Service only with the permission and supervision of a parent or legal guardian. You must provide accurate, complete, and current registration, contact, billing, business, product, and campaign information and promptly update it when it changes. You are responsible for protecting your login credentials and for activity conducted through your account. You must notify NexusAI promptly if you believe your account has been accessed without authorisation. You must not create accounts using false identities, impersonate another person or organisation, transfer an account without permission, or use another person’s account without authorisation.

NexusAI may offer free and paid plans with different features, limits, usage allowances, and credit allocations. Current plan details and prices are displayed on the relevant pricing or checkout page. Subscriptions may renew automatically at the billing frequency shown at checkout unless cancelled before the next billing date. You authorise the applicable payment provider to charge the payment method associated with your account for recurring fees, applicable taxes, and authorised purchases. You may cancel a subscription through the available account or billing controls. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period, and access continues until that date. Credits, usage allowances, and feature limits may depend on your plan. Unless expressly stated otherwise, credits have no cash value, cannot be transferred, and may expire or reset according to the applicable plan terms. We may introduce reasonable usage, storage, rate, security, or fair-use limits to protect the Service and other users. We will not materially reduce a prepaid service without providing an appropriate remedy where required by law.

Prices, currencies, billing periods, inclusions, and applicable fees are shown before purchase. Unless expressly stated otherwise, prices are exclusive of taxes, duties, bank fees, currency-conversion charges, and other amounts imposed by third parties. Payments may be processed by Stripe or another authorised payment provider. NexusAI generally does not receive or store complete payment-card numbers. You authorise us and our payment provider to process charges connected with your selected subscription, sponsorship package, directory review, add-on, campaign renewal, translation service, sponsored content service, or other purchase. You are responsible for ensuring that your payment and billing information is correct and that you are authorised to use the selected payment method. If payment fails, is reversed, becomes overdue, or is subject to a chargeback, we may suspend the relevant subscription, campaign, listing application, or paid feature while the issue is investigated or resolved.

Refunds, cancellations, campaign credits, service extensions, and related remedies are governed by these Terms, the applicable offer shown at purchase, and the NexusAI Refund and Cancellation Policy. Change-of-mind refunds are not automatically available unless expressly offered. However, nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Where the Service has a major failure, an eligible consumer may be entitled to cancel the service and receive a refund for the unused portion or compensation for its reduced value. Where a failure is not major, NexusAI may be entitled to rectify the issue within a reasonable time before another remedy applies. Duplicate charges, confirmed billing errors, services that NexusAI does not intend or is unable to supply, and other qualifying issues will be reviewed and remedied in accordance with applicable law. Directory review fees, translation fees, creative-production fees, and custom-content fees may become non-refundable after the relevant work has commenced, except where the service is not supplied, materially fails to meet its description, or a refund or other remedy is required by law.

Submission of an AI product or payment of a directory review fee does not guarantee acceptance, publication, continued inclusion, ranking, featured status, traffic, or commercial results. Directory review fees pay for the review service and are not payments for guaranteed approval. NexusAI may accept, reject, request changes to, unpublish, correct, or remove a listing based on quality, relevance, accuracy, safety, legality, editorial standards, technical requirements, or these Terms. Sponsorship does not guarantee directory approval and does not purchase or control organic search rankings, ratings, reviews, recommendations, editorial conclusions, or independent NexusAI content. We may identify, correct, categorise, summarise, translate, or format submitted product information to maintain consistency and accuracy across the directory.

Sponsors may purchase eligible packages and submit products, campaign details, creatives, target categories, links, images, and other promotional materials for review. Payment does not automatically guarantee approval, publication, immediate launch, or access to every placement associated with a package. A campaign begins only after required payment, product setup, creative approval, and any other campaign requirements have been completed. Package descriptions identify potential benefits and eligible placement options. Exact placements, timing, format, rotation, frequency, inventory, and availability are confirmed during campaign setup and may vary during the campaign. NexusAI may reasonably rotate advertisements, adjust their position or format, substitute a substantially comparable placement, filter invalid traffic, or make technical changes necessary to deliver and protect the Service. If NexusAI cannot provide a material paid campaign benefit, we may offer an appropriate extension, replacement placement, campaign credit, proportionate refund, or other remedy, taking into account the circumstances and applicable law. Campaigns normally end automatically on the stated end date. Delays caused by missing information, rejected creatives, sponsor-requested revisions, or the Sponsor’s failure to respond may delay the campaign start or reduce available delivery time unless otherwise agreed.

All sponsored products, campaigns, advertisements, links, and creatives are subject to review and approval. NexusAI may request evidence supporting advertising claims or require edits before or during a campaign. We may reject, suspend, restrict, or remove promotional material that is unlawful, misleading, deceptive, unsafe, infringing, technically harmful, inconsistent with our audience or editorial standards, or otherwise unsuitable for the Service. Sponsored placements may be identified using labels such as Sponsored, Advertisement, Promoted, Paid Partnership, or similar wording. Sponsors must not remove, conceal, or interfere with these disclosures. NexusAI may distinguish sponsored material from independent directory listings, organic recommendations, ratings, reviews, rankings, and editorial content.

By submitting a sponsored product, campaign, advertisement, or promotional material, you represent and warrant that: - you are authorised to advertise the relevant product, company, service, trademark, and website - you own or have obtained all rights, licences, consents, and permissions required for submitted text, logos, images, videos, trademarks, claims, and other materials - all claims concerning product capabilities, pricing, discounts, benchmarks, customers, security, privacy, performance, certifications, endorsements, and results are accurate, current, supportable, and not misleading - the advertised product and destination website are lawful, functional, reasonably secure, and accurately described - the material does not infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights - the advertisement does not contain malware, spyware, phishing, deceptive downloads, hidden redirects, or harmful code - you will promptly notify NexusAI if submitted information becomes inaccurate, unlawful, unavailable, or misleading - you will comply with advertising, consumer protection, privacy, intellectual property, sanctions, export-control, and industry-specific laws applicable to your product and campaign. You remain responsible for the advertised product, landing page, claims, customer relationships, and fulfilment of any offer made through the campaign.

You must not use the Service to submit, advertise, promote, distribute, or facilitate: - unlawful, fraudulent, deceptive, harmful, abusive, defamatory, or infringing activity - false, unsubstantiated, or misleading product, pricing, benchmark, customer, security, health, financial, or performance claims - malware, spyware, ransomware, phishing, credential theft, deceptive downloads, or unauthorised surveillance - counterfeit goods, stolen property, piracy, or intellectual-property infringement - illegal drugs, prohibited weapons, explosives, dangerous materials, or unlawful regulated products - scams, pyramid schemes, fake investment opportunities, fraudulent financial services, or unlawful gambling - sexual exploitation, illegal explicit material, hate, terrorism, violent extremism, harassment, or content promoting serious harm - impersonation, fake testimonials, fabricated reviews, undisclosed endorsements, or manipulation of ratings and rankings - products or practices that unlawfully collect, sell, disclose, or misuse personal information. NexusAI may maintain and update additional advertising standards or restricted-content requirements where reasonably necessary.

You agree not to: - use the Service for unlawful, fraudulent, deceptive, harmful, abusive, or infringing activities - upload, publish, promote, or distribute illegal, misleading, defamatory, malicious, or unauthorised content - infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights - misuse NexusAI APIs, automation, search, storage, credits, advertising inventory, analytics, or technical resources - interfere with the Service, bypass security controls, manipulate rankings or analytics, create fraudulent impressions or clicks, or attempt unauthorised access - scrape, crawl, extract, reproduce, or systematically collect Service content using bots or automated tools except where expressly permitted - distribute spam, conduct phishing, create fake accounts or reviews, or engage in deceptive marketing - attempt to overload, disrupt, damage, probe, or test the vulnerability of the Service without written authorisation - use outputs or content from the Service in a way that violates applicable law or another person’s rights. You must not reverse engineer, decompile, disassemble, or attempt to discover non-public source code, security controls, proprietary prompts, ranking mechanisms, or internal systems, except to the extent such restrictions are prohibited by law. Nothing in these Terms prevents legitimate comparative testing, research, interoperability activity, or other conduct that cannot lawfully be restricted. Publicly published claims about NexusAI should be accurate, fair, and based on reasonable testing.

NexusAI and its licensors retain all rights, title, and interest in the Service, including software, source code, interfaces, databases, search and recommendation systems, prompts, workflows, designs, branding, trademarks, documentation, original editorial content, and proprietary technology. You retain ownership of original content and materials that you create or submit, including product information, campaign materials, logos, images, trademarks, prompts, reviews, and comments. By submitting Content, you grant NexusAI a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, adapt, translate, display, publish, distribute, and otherwise use that Content as reasonably necessary to operate, secure, improve, market, and provide the Service. This includes directory listings, advertisements, sponsor creatives, campaign placements, translated creatives, sponsored articles, newsletters, social promotions, previews, and related materials selected by you. You confirm that you have the rights and permissions required to provide the Content and grant this licence. The licence generally ends when the Content is removed, except to the extent continued use or retention is reasonably required for legal compliance, accounting, fraud prevention, backups, dispute resolution, analytics, previously distributed campaign materials, or content that has been incorporated into an agreed published deliverable.

Some parts of the Service may use artificial intelligence to generate, summarise, classify, translate, compare, recommend, search, or otherwise process information. AI-generated outputs may be incomplete, inaccurate, outdated, biased, unsuitable, or inconsistent. They are provided for general informational and productivity purposes and should be independently reviewed before being relied upon. NexusAI does not guarantee that an AI-generated recommendation, comparison, classification, prompt, translation, summary, or search result is complete, accurate, or appropriate for your particular circumstances. The Service does not provide legal, medical, financial, accounting, investment, employment, cybersecurity, or other regulated professional advice. You should obtain appropriate professional advice where necessary. Sponsors remain responsible for reviewing and approving translated or AI-assisted campaign materials, particularly brand names, technical terminology, regulated claims, prices, guarantees, and legal disclosures.

The Service may display, describe, compare, integrate with, or link to third-party AI tools, websites, applications, payment providers, analytics providers, authentication providers, infrastructure services, and other external services. Third-party products and services are operated independently and are subject to their own terms, privacy policies, pricing, availability, security, and business practices. Unless expressly stated, inclusion in the NexusAI directory or Service does not mean that NexusAI owns, operates, endorses, guarantees, or is affiliated with a third-party product. NexusAI is not responsible for third-party content, availability, transactions, security, representations, changes, or conduct. You should evaluate external services and their terms before using them or providing information to them.

NexusAI may provide sponsors with analytics such as impressions, clicks, placement information, dates, locale, campaign status, or other aggregated performance data. Analytics may be estimated, delayed, adjusted, filtered, or corrected to account for bots, duplicate activity, invalid traffic, fraud, technical errors, privacy controls, and system maintenance. NexusAI analytics may differ from the Sponsor’s website analytics, Google Analytics, advertising platforms, payment systems, or other third-party reports because systems may use different measurement methods. Unless expressly agreed in writing, NexusAI does not guarantee any minimum number of impressions, clicks, leads, conversions, sales, customers, search rankings, directory rankings, or other business outcomes.

Our collection, use, storage, and disclosure of personal information are described in the NexusAI Privacy Policy and any applicable collection notices. The Service may use cookies and similar technologies for authentication, security, preferences, analytics, fraud prevention, sponsor impression measurement, click measurement, and service improvement. By providing contact details, you agree that we may send transactional and service-related communications concerning your account, purchases, campaigns, subscriptions, security, billing, and support requests. We will send marketing communications only where permitted by law. Marketing messages will identify the sender and provide a functional method to unsubscribe. Unsubscribing from marketing does not prevent essential account, payment, security, or service communications.

NexusAI may suspend, restrict, reject, unpublish, or terminate an account, listing, campaign, advertisement, subscription, or access to the Service where reasonably necessary, including for: - breach of these Terms or an incorporated policy - unlawful, fraudulent, misleading, abusive, or infringing activity - security threats, malicious code, unauthorised access, or misuse of the Service - non-payment, failed payment, chargebacks, or suspected payment fraud - misleading product information or advertising claims - prohibited advertising content or repeated failure to meet campaign requirements - conduct that creates material legal, regulatory, technical, reputational, or safety risk. Where appropriate, we may give notice and a reasonable opportunity to correct the issue. Immediate action may be taken where necessary to protect users, the Service, third parties, or NexusAI. If NexusAI terminates a paid service without fault by you, we will provide any refund, credit, extension, or other remedy required by law or reasonably appropriate for the undelivered portion. Termination does not affect rights, obligations, liabilities, payment responsibilities, or remedies that arose before termination.

We aim to operate the Service reliably but do not guarantee that every feature will always be uninterrupted, error-free, secure, or available in every location. The Service may be temporarily unavailable because of maintenance, updates, infrastructure issues, security incidents, third-party failures, internet disruption, or circumstances beyond our reasonable control. We may make reasonable changes to features, technical requirements, layouts, integrations, usage limits, campaign formats, and placements. Where a change materially reduces a prepaid service, we will provide reasonable notice where practicable and any remedy required by law. We are not responsible for delays or failures caused by information, approvals, materials, access, or actions that you are required to provide.

To the extent permitted by law, the Service is provided on an as available basis. Information displayed through NexusAI may be supplied by users, sponsors, vendors, public sources, third parties, or AI systems and may contain errors or become outdated. NexusAI does not guarantee that a listed product will remain available, meet your requirements, produce a particular result, or be suitable for a particular purpose. Nothing in these Terms excludes, restricts, or modifies any statutory guarantee, warranty, condition, right, or remedy that cannot lawfully be excluded, including rights that may apply under the Australian Consumer Law. Any disclaimer or limitation in these Terms applies only to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, NexusAI is not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, anticipated savings, or data, arising from use of the Service. This limitation does not apply to liability that cannot lawfully be excluded or limited, including applicable consumer guarantees, fraud, wilful misconduct, or liability for personal injury caused by negligence where exclusion is prohibited. Where NexusAI is legally permitted to limit a remedy for failure to comply with a guarantee relating to services, our liability may, at our option, be limited to supplying the services again or paying the reasonable cost of having the services supplied again. Where permitted by law, NexusAI’s aggregate liability relating to a specific paid service will not exceed the amount you paid to NexusAI for that service during the 12 months preceding the event giving rise to the claim. The limitations in this section are subject to applicable law and will not operate to make any term unfair or unenforceable.

To the extent permitted by law, you agree to indemnify NexusAI and its officers, employees, and contractors against third-party claims, losses, liabilities, and reasonable costs to the extent caused by: - your unlawful use of the Service - your material breach of these Terms - Content, advertisements, claims, products, or links submitted by you - your infringement of intellectual property, privacy, confidentiality, publicity, or other third-party rights - your fraud, wilful misconduct, or negligence. This indemnity does not apply to the extent that a claim or loss was caused or contributed to by NexusAI’s breach, negligence, unlawful conduct, or failure to take reasonable steps to mitigate the loss.

We may update these Terms to reflect changes to the Service, business operations, laws, security requirements, pricing structures, or policies. The updated Terms will be published on the NexusAI website with a revised effective date. Where a change materially affects existing paid rights or obligations, we will provide reasonable advance notice where practicable. Changes generally apply prospectively. If you do not agree to a material change, you may stop using the Service and cancel an affected recurring subscription before the change takes effect, subject to any applicable rights and obligations. Continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms, except where additional consent is required by law.

These Terms are governed by the laws of Queensland, Australia, and applicable laws of the Commonwealth of Australia. Before commencing formal proceedings, you and NexusAI agree to make reasonable efforts to resolve a dispute in good faith by contacting the other party, providing relevant details, and allowing a reasonable opportunity to respond. Nothing in this section prevents either party from seeking urgent injunctive relief, exercising a statutory right, making a complaint to a regulator, using an applicable consumer dispute process, or bringing a claim in a court or tribunal with jurisdiction. Any exclusive-jurisdiction requirement applies only to the extent permitted by applicable consumer and small-business protections.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, it will be read down to the minimum extent necessary or severed, and the remaining provisions will continue in effect. A failure or delay by NexusAI to enforce a provision does not waive the right to enforce it later. You may not assign or transfer your account or contractual rights without our prior written consent, except where this restriction is prohibited by law. NexusAI may transfer its rights and obligations as part of a genuine corporate restructure, financing, merger, acquisition, or sale of business, provided this does not materially reduce your rights without an appropriate remedy.

These Terms, together with any applicable order details, plan terms, campaign details, and policies expressly incorporated by reference, form the agreement between you and NexusAI concerning the Service. Relevant policies may include the Privacy Policy, Refund and Cancellation Policy, Sponsor Advertising Policy, Cookie and Tracking Notice, directory submission requirements, campaign requirements, and other service-specific terms displayed before purchase. If there is a conflict, a specifically agreed order or campaign term takes priority for that transaction, followed by any service-specific policy and then these general Terms, unless applicable law requires otherwise.
